Terms of service
OVERVIEW
This website is operated by GPI PRO Systems. Throughout the site, the terms “we,” “us,” and “our” refer to GPI PRO Systems. GPI PRO Systems offers this website, including all information, tools, products, and services available through this site, conditioned upon your acceptance of the terms, conditions, policies, and notices stated here.
By visiting our website, placing an order, purchasing a product, or otherwise using our services, you agree to be bound by these Terms of Service (“Terms”), including any additional terms and policies referenced herein or made available by hyperlink, including our Warranties & Returns Policy, Shipping Policy, and Privacy Policy.
Please read these Terms carefully before accessing or using our website. If you do not agree to these Terms, you may not use the website or purchase products or services from us.
When you affirmatively accept these Terms during the purchasing process, including by selecting a checkbox indicating your agreement, you acknowledge that you have read, understood, and agreed to these Terms and the policies incorporated into them.
We reserve the right to update or modify these Terms from time to time by posting an updated version on this website. For purchases, the version of these Terms in effect at the time an order is placed will generally govern that transaction.
SECTION 1 — ONLINE STORE TERMS
By agreeing to these Terms, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence, or that you have obtained any legally required consent to use this website.
You may not use our products or services for any illegal or unauthorized purpose or violate any applicable laws in connection with your use of our website, products, or services.
You must not transmit viruses, malware, worms, or other malicious or destructive code.
A violation of these Terms may result in termination or restriction of your access to our services.
SECTION 2 — GENERAL CONDITIONS
We reserve the right to refuse service, cancel orders, or limit quantities to the extent permitted by applicable law.
You may not reproduce, duplicate, copy, sell, resell, reverse engineer, or exploit any portion of our website, services, content, or other proprietary materials without our express written permission, except as otherwise permitted by law.
Headings contained in these Terms are provided for convenience and do not limit or otherwise affect these Terms.
SECTION 3 — PRODUCT INFORMATION AND COMPATIBILITY
We make reasonable efforts to accurately describe and display our products, specifications, photographs, compatibility information, and other product information.
Photographs and illustrations are provided for reference. Colors, dimensions, appearance, finishes, specifications, and other characteristics may vary slightly due to manufacturing tolerances, product revisions, displays, photography, or other factors.
Customers are responsible for reviewing product descriptions, specifications, compatibility information, equipment requirements, and selected options before placing an order.
If you are unsure whether a product is appropriate or compatible with your equipment or intended application, you should contact GPI PRO Systems before placing your order.
Unless GPI PRO Systems expressly confirms compatibility in writing for a specific application, the customer is responsible for determining whether a product is suitable for the customer's equipment and intended use.
SECTION 4 — PROFESSIONAL EQUIPMENT AND PROPER USE
GPI PRO Systems manufactures and sells professional camera stabilization equipment, components, accessories, and related products.
Our products are intended to be installed, adjusted, operated, maintained, and inspected appropriately for their intended applications.
Customers and users are responsible for familiarizing themselves with applicable product instructions, manuals, warnings, specifications, maintenance requirements, and proper operating procedures before using a product.
The customer is responsible for ensuring that equipment is properly assembled, adjusted, secured, maintained, and inspected before and during use.
GPI PRO Systems is not responsible for damage, injury, equipment failure, or other loss resulting from misuse, abuse, improper installation, improper adjustment, unauthorized modification, failure to perform appropriate inspection or maintenance, use of incompatible equipment or components, accidents, neglect, exceeding published specifications or limitations, or use outside a product's intended application, except to the extent otherwise required by applicable law.
SECTION 5 — ORDERS, CHANGES, AND CANCELLATIONS
Submitting an order does not guarantee acceptance of that order. We reserve the right to accept, reject, limit, or cancel an order to the extent permitted by law.
We may cancel an order because of product availability, pricing or listing errors, suspected fraud, payment issues, shipping restrictions, or other reasonable business considerations.
Customers are responsible for reviewing their orders carefully before submitting them.
Requests to modify or cancel an order should be made as soon as possible. We cannot guarantee that an order can be modified or canceled after it has been submitted.
If production, assembly, modification, procurement, or other work has already begun for an order, cancellation or modification may be restricted or subject to additional charges where permitted by applicable law and our applicable policies.
SECTION 6 — PRICES AND PAYMENT
Prices are subject to change without notice.
The price charged for an order will generally be the price displayed and accepted at the time the order is placed, except in the event of an obvious pricing, typographical, technical, or listing error.
We reserve the right to correct pricing or product-information errors and, where permitted by law, cancel an affected order and issue an appropriate refund.
Customers agree to provide current, complete, and accurate billing, shipping, payment, and contact information.
SECTION 7 — SHIPPING AND DELIVERY
Shipping and delivery dates are estimates unless GPI PRO Systems expressly agrees otherwise in writing.
Production times, carrier transit times, customs processing, weather, supply-chain interruptions, carrier delays, and other circumstances may affect delivery.
GPI PRO Systems is not responsible for delays caused by shipping carriers, customs authorities, incorrect addresses supplied by customers, or circumstances outside our reasonable control, except as required by applicable law.
Customers are responsible for providing a complete and accurate shipping address.
International customers are responsible for applicable import duties, taxes, customs fees, brokerage fees, or similar charges unless expressly stated otherwise at the time of purchase.
SECTION 8 — WARRANTIES, RETURNS, REFUNDS, AND EXCHANGES
Warranties, returns, refunds, exchanges, and related remedies are governed by the GPI PRO Systems Warranties & Returns Policy, which is incorporated into these Terms by reference.
Customers are responsible for reviewing the Warranties & Returns Policy before completing a purchase.
A product may not be returned without complying with the applicable return-authorization procedures stated in our Warranties & Returns Policy.
The initiation of a return does not itself establish that a product is defective, covered by warranty, or eligible for a refund, replacement, repair, or exchange.
GPI PRO Systems may reasonably inspect and test returned products to determine their condition, the cause of an alleged problem, and eligibility for warranty coverage or other remedies.
Nothing in these Terms eliminates any warranty, right, or remedy that cannot legally be excluded or limited.
SECTION 9 — SERVICE, REPAIRS, AND MODIFICATIONS
GPI PRO Systems may offer inspection, maintenance, repair, upgrade, modification, or other services for equipment.
Estimates for service or repair work are estimates unless expressly stated otherwise in writing. Additional issues discovered during inspection or disassembly may require additional work, parts, labor, or authorization.
Customers are responsible for accurately describing known problems and disclosing relevant damage, modifications, prior repairs, accidents, contamination, or other conditions that may affect the equipment or service being performed.
GPI PRO Systems is not responsible for pre-existing damage, wear, unauthorized modifications, prior improper repairs, hidden damage, or other conditions not caused by GPI PRO Systems.
SECTION 10 — THIRD-PARTY PRODUCTS AND EQUIPMENT
GPI PRO Systems products may be used with cameras, lenses, batteries, monitors, mounts, vehicles, support equipment, accessories, and other products manufactured by third parties.
References to third-party manufacturers, brands, products, or equipment are provided for identification or compatibility purposes and do not necessarily indicate affiliation with, sponsorship by, or endorsement by those third parties.
GPI PRO Systems is not responsible for the operation, reliability, specifications, design changes, or performance of third-party equipment.
Third-party manufacturers may change their products or specifications without notice, which may affect compatibility.
SECTION 11 — THIRD-PARTY SERVICES AND LINKS
Our website may provide access to third-party services, tools, payment processors, financing providers, shipping providers, websites, or links.
We do not control third-party services and are not responsible for their content, availability, practices, or performance.
Your use of third-party services may be subject to separate terms and privacy policies established by those third parties.
SECTION 12 — PERSONAL INFORMATION
Your submission and our handling of personal information through the website are governed by our Privacy Policy.
Please review our Privacy Policy for information regarding how personal information is collected, used, disclosed, and protected.
SECTION 13 — ERRORS, INACCURACIES, AND OMISSIONS
Occasionally, information on our website may contain typographical errors, inaccuracies, or omissions relating to product descriptions, specifications, pricing, promotions, availability, shipping charges, transit times, or other information.
We reserve the right to correct errors, inaccuracies, or omissions and to update information at any time.
Where permitted by applicable law, we may cancel an order affected by a material pricing or listing error and refund amounts paid for the canceled portion of the order.
SECTION 14 — INTELLECTUAL PROPERTY
Unless otherwise indicated, the website and its content, including product photographs, text, graphics, logos, trademarks, designs, product information, manuals, drawings, videos, and other materials, are owned by or licensed to GPI PRO Systems and are protected by applicable intellectual-property laws.
You may not reproduce, distribute, modify, commercially exploit, or create derivative works from our proprietary website content without prior written authorization from GPI PRO Systems, except as permitted by law.
Nothing in these Terms grants any license or right to use any GPI PRO Systems trademark, trade name, product design, copyrighted work, patent, or other intellectual property except as expressly authorized in writing.
SECTION 15 — DISCLAIMER OF WARRANTIES
To the maximum extent permitted by applicable law, the website and services are provided on an “as is” and “as available” basis.
Except for warranties expressly provided by GPI PRO Systems in writing or warranties that cannot legally be excluded, GPI PRO Systems disclaims all warranties, representations, and conditions, express or implied, including implied warranties of merchantability and fitness for a particular purpose.
Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot lawfully be excluded or limited.
SECTION 16 — LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, GPI PRO Systems and its owners, employees, representatives, contractors, suppliers, and service providers shall not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost revenue, lost business, loss of use, loss of production, loss of data, or damage to other equipment, arising from or relating to the website, services, or products.
To the maximum extent permitted by applicable law, GPI PRO Systems' aggregate liability arising from or relating to a product, service, or order shall not exceed the amount actually paid to GPI PRO Systems for the specific product, service, or order giving rise to the claim.
These limitations do not apply to liability that cannot legally be excluded or limited.
SECTION 17 — INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless GPI PRO Systems and its owners, employees, representatives, contractors, suppliers, and service providers from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful use of our website or products, your misuse or unauthorized modification of our products, your violation of these Terms, your violation of applicable law, or your infringement of another person's rights.
SECTION 18 — PAYMENT DISPUTES AND CHARGEBACKS
If you have a question, concern, or problem with an order, you agree to contact GPI PRO Systems promptly so that we have a reasonable opportunity to investigate and resolve the issue.
Initiating a payment dispute or chargeback does not modify or supersede these Terms, our Warranties & Returns Policy, or other terms agreed to at the time of purchase.
In the event of a payment dispute or chargeback, GPI PRO Systems may provide the applicable payment processor, acquiring bank, issuing bank, payment-card network, financing provider, or other financial institution with information and documentation reasonably necessary to investigate, respond to, or contest the dispute.
Such information may include, as applicable, order details; billing and shipping information; product selections and specifications; records showing acceptance of these Terms and applicable policies; invoices and receipts; correspondence with the customer; production, assembly, service, or inspection records; photographs; product testing results; shipment and tracking information; proof of delivery; and other records relating to the transaction.
A payment dispute or chargeback does not itself constitute a product return, order cancellation, determination that a product is defective, or determination that the customer is entitled to a refund.
Customers remain responsible for complying with the applicable return, cancellation, warranty, and other policies agreed to at the time of purchase, subject to applicable law and applicable payment-card network rules.
Nothing in this section waives or limits any rights that cannot legally be waived or any rights available under applicable payment-card network rules.
SECTION 19 — PROHIBITED USES
You may not use the website or its content for unlawful purposes; to solicit others to perform unlawful acts; to violate applicable laws or regulations; to infringe intellectual-property rights; to submit false or misleading information; to transmit malicious code; to collect or track the personal information of others unlawfully; or to interfere with or circumvent the security features of the website or related services.
We reserve the right to terminate or restrict access to the website or services for violations of this section.
SECTION 20 — SEVERABILITY
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the fullest extent permitted by law or severed to the minimum extent necessary.
The remaining provisions shall continue in full force and effect.
SECTION 21 — WAIVER
Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
SECTION 22 — ENTIRE AGREEMENT
These Terms, together with our Warranties & Returns Policy, Shipping Policy, Privacy Policy, and any other policies or terms expressly incorporated by reference, constitute the agreement between you and GPI PRO Systems concerning your use of the website and purchases made through it.
These Terms supersede prior versions of these Terms relating to the same subject matter.
SECTION 23 — GOVERNING LAW
These Terms and any dispute arising from or relating to these Terms, our website, our services, or products purchased from GPI PRO Systems shall be governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
SECTION 24 — CHANGES TO THESE TERMS
We may update these Terms from time to time.
The current version will be posted on this website. Changes will apply prospectively unless otherwise permitted or required by law.
For purchases, the version of these Terms in effect when the applicable order was placed will generally govern that transaction.
